1. Acceptance of Terms

By accessing or using the Zimmer platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Zimmer is an AI agent platform that enables you to create, design, deploy, and manage AI-powered conversational agents. The Service includes:

• A visual builder for designing branded agent experiences
• AI-powered conversation processing
• Knowledge base management
• Multi-channel deployment (web landing pages, embeddable widgets, and third-party platforms)
• Conversation analytics and audience segmentation
• Third-party integrations (including e-commerce, calendar, document, and custom API connections)

3. Accounts and Registration

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@zimmerhq.ai if you become aware of any unauthorized use of your account.

3.3 Organizations and Teams

If you create an organization on Zimmer, you are responsible for managing team member access, permissions, and ensuring that all users within your organization comply with these Terms.

4. Subscription Plans and Billing

4.1 Plans

Zimmer offers multiple subscription tiers (Free, Growth, Scale, and Enterprise) with varying features, agent limits, and interaction volumes. Plan details and pricing are available on our website and may be updated from time to time.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.3 Usage Limits

Each plan includes a defined number of agents, interactions, and features. If you exceed your plan's limits, we may throttle service, prompt you to upgrade, or charge overage fees as specified in your plan.

4.4 Changes to Pricing

We reserve the right to modify pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Your Content and Data

5.1 Ownership

You retain all rights to the content you create, upload, or provide through the Service, including agent configurations, knowledge base content, brand assets, and conversation data (“Your Content”).

5.2 License to Zimmer

You grant Zimmer a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely to provide and improve the Service. This license terminates when you delete Your Content or your account.

5.3 Responsibility for Content

You are solely responsible for Your Content, including ensuring that it does not violate any third-party rights, applicable laws, or these Terms. Zimmer does not monitor or endorse Your Content.

5.4 Data Export

You may export Your Content at any time through the platform's export features, subject to your plan's capabilities.

6. Acceptable Use

You agree not to use the Service to:

• Create agents that impersonate real individuals without their consent
• Generate, distribute, or facilitate the distribution of harmful, illegal, abusive, or misleading content
• Engage in or facilitate spam, phishing, or social engineering attacks
• Collect personal information from end users without appropriate legal basis or disclosure
• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse-engineer, decompile, or access the source code of the Service
• Interfere with or disrupt the Service or its infrastructure
• Circumvent usage limits, access controls, or security measures
• Use the Service to build a competing product

7. AI Usage and Limitations

7.1 AI-Generated Content

Agents built on Zimmer produce AI-generated responses. AI outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing, configuring, and monitoring your agents' behavior and outputs.

7.2 No Warranty on AI Accuracy

Zimmer does not guarantee the accuracy, reliability, or appropriateness of any AI-generated content. You should not rely on AI outputs for critical decisions without human oversight.

7.3 Custom AI Backends

If you connect your own AI backend (BYOM/RAG), you are responsible for the performance, accuracy, and compliance of that backend. Zimmer is not liable for outputs generated by third-party AI models you integrate.

8. Third-Party Integrations

The Service allows you to connect third-party services such as Shopify, Google Workspace, and custom APIs. Your use of these integrations is subject to the respective third party's terms of service and privacy policy. Zimmer is not responsible for the availability, accuracy, or security of third-party services.

9. Intellectual Property

9.1 Zimmer's IP

The Service, including its software, design, documentation, and branding, is owned by Zimmer and protected by intellectual property laws. These Terms do not grant you any rights to Zimmer's intellectual property except the limited right to use the Service as described herein.

9.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Zimmer a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without obligation to you.

10. Termination

10.1 By You

You may terminate your account at any time through your account settings. Upon termination, your access to the Service will cease, and your data will be deleted within 30 days unless retention is required by law.

10.2 By Zimmer

We may suspend or terminate your access if you violate these Terms, engage in activity that harms the Service or other users, fail to pay applicable fees, or as required by law. We will provide reasonable notice except in cases of severe or urgent violations.

10.3 Effect of Termination

Upon termination, all licenses granted to you under these Terms cease. Sections that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will survive.

10.4 Data Deletion Upon Termination

Upon account termination or deletion, Zimmer will delete all Your Content and associated data within 30 days, in accordance with the data deletion procedures described in our Privacy Policy. You may request data deletion at any time via your account settings, by emailing privacy@zimmerhq.ai, or by following the instructions on our Data Deletion Instructions page.

11. End-User Data and Your Obligations

11.1 End-User Privacy

If your agents collect personal information from end users, you must provide a privacy policy that clearly discloses the data you collect, how it is processed (including the use of AI), and how end users can request deletion of their data.

11.2 Data Deletion Compliance

You must provide end users with a way to request deletion of their data collected through your agents. This may be satisfied by:

• Providing a data deletion request page on your website
• Including a contact email or form for deletion requests in your agent's interface
• Using Zimmer's built-in data deletion request feature (when available)

Failure to comply with applicable data deletion obligations may result in suspension of your account.

11.3 Platform Compliance

If you deploy agents that integrate with third-party platforms (such as Facebook, Instagram, Google, or WhatsApp), you are responsible for complying with those platforms' data use policies, including their requirements for data deletion callbacks and user data handling.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Zimmer does not warrant that the Service will be uninterrupted, error-free, or secure.

13. Limitation of Liability

To the maximum extent permitted by law, Zimmer's total liability under these Terms shall not exceed the amounts you have paid to Zimmer in the twelve (12) months preceding the claim. Zimmer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, regardless of the cause of action.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zimmer and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your Content
• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• The actions or interactions of end users with your agents

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of India, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in New Delhi, India, in accordance with applicable arbitration rules. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Zimmer regarding the Service.

16.2 Amendments

We may modify these Terms from time to time. Material changes will be communicated with at least 30 days' notice. Continued use of the Service after changes take effect constitutes acceptance.

16.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.4 Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.

16.5 Assignment

You may not assign your rights under these Terms without Zimmer's written consent. Zimmer may assign its rights freely in connection with a merger, acquisition, or sale of assets.
